The specific scope, timeline, deliverables, and fees for a project are defined in a proposal, Statement of Work (SOW), or written agreement ("Service Agreement") exchanged with you before work begins. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement takes precedence.
To deliver your project on schedule, we rely on you to:
Delays caused by missing inputs, feedback, or approvals on your end may extend the project timeline accordingly.
Upon full and final payment for a project, ownership of the custom deliverables built specifically for you (source code, designs, and content created for that engagement) transfers to you, except as otherwise agreed in writing.
MecroTech retains ownership of its pre-existing tools, frameworks, internal libraries, proprietary CMS/SaaS architecture, and any general-purpose or reusable components used to build your project. These remain our intellectual property and may continue to be used across other client engagements.
We may reference completed projects (with your permission) in our portfolio, case studies, and marketing materials.
Where a project involves AI agents, automation, or AI-assisted development, you acknowledge the following:
We do not knowingly build AI systems intended for illegal activity, fraud, or violation of a third party's privacy or rights. High-risk applications (e.g. medical diagnosis, financial trading, legal advice) require an explicit written agreement addressing additional safeguards before we take them on.
Fees, payment milestones, and currency are set out in your Service Agreement or invoice. Unless otherwise agreed, invoices are due within the timeframe stated on the invoice. Refunds are governed by our Refund Policy.
We treat information you share with us about your business, product, and users as confidential, and we use it only to deliver your project. We're happy to sign a mutual non-disclosure agreement (NDA) before discussing sensitive project details — just ask.
Our services may rely on third-party infrastructure and tools (for example, cloud hosting providers, payment processors, analytics, or AI model providers). Your use of any such third-party service through a product we build for you is also subject to that provider's own terms, and we are not responsible for their availability, performance, or changes to their terms.
To the maximum extent permitted by law, MecroTech's total liability arising out of or relating to a project is limited to the fees you paid us for that project. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, arising from your use of any product or service we deliver.
Either party may terminate a Service Agreement per the notice terms stated in it. We may also suspend or terminate access to our website or services if we reasonably believe they are being used for illegal, fraudulent, or abusive purposes. Fees for work completed up to the point of termination remain payable.
Participation in the MecroTech Referral Program is subject to the terms described on our Referral Program page, including eligibility, revenue-share percentages, and payout conditions, which we may update from time to time.
